Share Investment Default and Forfeiture Policy

Purpose

This policy establishes the conditions under which an investor’s rights to subscribed shares may be forfeited due to failure to complete payment obligations within the agreed timeframe.

Payment Obligation

All investors subscribing to shares in a DS TransCorp investment project must pay the full subscription amount according to the payment schedule stated in the Share Subscription Agreement.

Notice of Default

If an investor fails to make any scheduled payment by the due date, DS TransCorp shall issue a written Notice of Default. The investor shall be granted a grace period of thirty (30) calendar days from the date of the notice to remedy the default and bring all outstanding payments current.

Suspension of Rights

During the default period, the investor’s rights associated with the subscribed shares, including voting rights, dividend rights, profit-sharing rights, and any other shareholder privileges, shall be suspended until all outstanding payments have been received.

Forfeiture of Shares

If the investor fails to pay all outstanding amounts within the grace period, DS TransCorp reserves the right to forfeit all subscribed shares relating to the defaulted investment.

Upon forfeiture:

1. The investor shall lose all rights, interests, claims, and benefits associated with the forfeited shares.
2. The forfeited shares may be reissued, resold, or allocated to another investor at the sole discretion of DS TransCorp.
3. The investor shall cease to be recognized as a shareholder with respect to the forfeited shares.

Treatment of Amounts Already Paid

Any payments previously made by the investor prior to forfeiture shall be treated as liquidated damages to compensate DS TransCorp for administrative costs, fundraising expenses, opportunity costs, and losses resulting from the investor’s failure to fulfill the subscription agreement.

DS TransCorp may, at its sole discretion, refund part of the amount paid after deducting applicable administrative charges, legal costs, and other expenses incurred.

Exceptional Circumstances

The Board of Directors may, at its sole discretion, grant an extension, restructuring of payment terms, or partial relief where the investor demonstrates genuine hardship or other exceptional circumstances supported by satisfactory evidence.

Final Authority

The decision of DS TransCorp regarding forfeiture, reinstatement, extension, or reallocation of forfeited shares shall be final and binding, subject to applicable laws and regulations governing the company and the jurisdiction in which the investment is offered.

Acknowledgment

By subscribing to shares, each investor acknowledges that investment is a risk. Refund is only feasible if company fails to deliver success and growth as defined. They have read, understood, and agreed to the Default and Forfeiture Policy and accept the consequences of failing to fulfill their payment obligations.
